Terms of Use
These Terms are a binding agreement between you and Equitymind Ventures, the company that operates ResidencyIQ. Read this document in full before subscribing: it contains a mandatory arbitration clause and class-action waiver in Section 8 that affects your legal rights.

Attorney Review Required Before Publication
- Confirm “Equitymind Ventures” is the exact registered legal name of the billing entity.
- Governing law and small-claims venue are currently set to California / Orange County based on the company’s current mailing address; confirm this is still correct if the entity’s state of formation or principal place of business changes.
- Arbitration clause (Section 8): provider (AAA), class-action waiver, and small-claims carve-out should be reviewed against current FAA case law and California consumer-protection statutes.
- Refund policy (Section 5): confirm it doesn’t conflict with card-network chargeback rules or California’s Automatic Renewal Law.
- Limitation of liability (Section 7) and indemnification (Section 8.1): confirm enforceability and scope under California law.
1. What ResidencyIQ Is (and Is Not)
Summary
ResidencyIQ organizes records. It doesn’t practice law, prepare taxes, or promise any audit outcome.
1.1 Service Description
ResidencyIQ is a software platform that helps you collect, organize, timestamp, and present evidence relevant to establishing or defending your state tax residency status, including location check-ins, linked financial transaction data, uploaded or linked documents, and summary reports generated from that information.
1.2 Not a Law Firm, CPA Firm, or Tax Advisor
ResidencyIQ is not a law firm, is not a certified public accounting firm, and does not provide legal advice, tax advice, or financial advice. No output of the Service (including any report, timeline, summary, “AuditIQ” analysis, residency score, or reconstruction packet) constitutes:
- A legal opinion or legal determination of your residency or domicile status under any state’s law;
- A guarantee, prediction, or assurance of any particular outcome in a tax audit, assessment, appeal, or litigation;
- Tax return preparation, tax planning, or a substitute for advice from a licensed attorney or CPA.
Nothing in the Service creates an attorney-client relationship, an accountant-client relationship, or any other professional-client relationship between you and Equitymind Ventures.
1.3 Informational Records Only
Every document, timeline, score, and report the Service produces is an informational record compiled from data you provided or connected. It reflects what you entered or linked; it does not independently verify the legal sufficiency of that evidence under any specific state’s residency or domicile test, and it does not adjust for facts you did not provide.
2. Your Responsibilities as a User
Summary
Garbage in, garbage out, and what you put in may be seen by an auditor exactly as you entered it.
2.1 Accuracy of Inputs
You are solely responsible for the accuracy, completeness, and truthfulness of all information you enter into or connect to the Service, including check-in locations, uploaded or linked documents, and any manually entered facts. ResidencyIQ does not verify the truthfulness of what you submit; it organizes and timestamps it.
2.2 Discoverability in an Audit
If you assert or produce records generated by ResidencyIQ in connection with a state tax audit, examination, or proceeding, those records (including check-in history, linked transaction data, and any notes or entries you made) may be discoverable in full by the taxing authority or opposing party, not just the portions favorable to you. Do not enter information into the Service that you would not want reviewed in its entirety by an auditor if you later choose to rely on your ResidencyIQ records.
2.3 No Reliance Without Professional Review
You agree not to rely on any ResidencyIQ output (including residency scores, AuditIQ summaries, or reconstruction packets) as a final basis for a filing position, audit response, or legal argument without review by a licensed attorney or CPA qualified in the relevant jurisdiction. The Service is a tool to help that professional do their job faster, not a replacement for their judgment.
2.4 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
3. Subscriptions and Reconstruction Engagements
Summary
Subscriptions are $299–$1,499/year and auto-renew. Reconstruction is a separate fixed-fee, project-based engagement.
3.1 Subscription Plans
ResidencyIQ offers subscription plans ranging from $299 to $1,499 per year, depending on tier and features. Current pricing and tier features are listed at residencyiq.app/pricing and may change prospectively; any price change will apply starting with your next renewal term and will be disclosed to you in advance as described in Section 11.
3.2 Reconstruction Engagements
“Reconstruction” engagements are separate, fixed-fee, project-based services in which ResidencyIQ (directly or through personnel) assists in reconstructing a historical residency record for a defined past period. Reconstruction engagements are billed as a one-time fixed fee, quoted before the engagement begins, and are governed by these Terms together with any engagement-specific scope document you accept.
3.3 Automatic Renewal
Subscriptions automatically renew at the end of each billing term (monthly or annual, depending on your plan) at the then-current price, unless you cancel before the renewal date. We will send a renewal reminder notice to your account email before each annual renewal.
3.4 Cancellation
You may cancel your subscription at any time from your account settings. Cancellation stops future renewals; it does not, by itself, entitle you to a refund of the current term’s fee except as described in Section 5.
3.5 Payment Processing
All payments are processed by Stripe. Equitymind Ventures is the merchant of record, and charges will appear on your card statement or receipt as “Equitymind Ventures.” We do not store your full card number.
4. Data Export on Cancellation
Summary
You get 90 days after cancellation to pull your data out.
Upon cancellation of your subscription (whether by you or by us), you will have 90 days from the cancellation effective date to export your account data, including uploaded and linked documents, check-in history, timelines, and generated reports, in a commonly used export format available through the Service. After the 90-day export window closes, we may delete your account data, subject to the evidence-record retention terms in our Privacy Policy and any legal hold or retention obligation that independently applies.
It is your responsibility to complete your export within this window. We will send at least one email reminder before the window closes if we have a valid email address on file.
5. Refund Policy
Summary
New annual subscribers get 14 days to get a full refund. Reconstruction fees are refundable in full only if you cancel before your intake call.
5.1 Subscription Plans: 14-Day Refund Window
If you purchase an annual subscription plan, you may request a full refund of that term’s payment within 14 calendar days of the initial purchase or renewal charge, no questions asked. Requests must be submitted to support@residencyiq.app. Refunds will be issued to the original payment method within a standard Stripe processing window. This 14-day window applies once per annual term (i.e., it applies again at each annual renewal, not only at initial signup) but does not apply mid-term after the 14 days has lapsed.
Monthly subscription charges are non-refundable, but you may cancel at any time to stop future monthly charges.
5.2 Reconstruction Engagements: Refundable Before Intake Call
Fixed-fee reconstruction engagement payments are fully refundable if you cancel before your scheduled intake call. Once the intake call has occurred and engagement work has begun, the engagement fee is non-refundable, because professional and platform resources are committed to your matter starting at that point. If you need to reschedule your intake call, contact support@residencyiq.app before the scheduled time to preserve refund eligibility.
5.3 No Refund for Discretionary Dissatisfaction with Audit Outcomes
Because ResidencyIQ is an informational and organizational service (Section 1) and not a guarantee of any audit or litigation outcome, dissatisfaction with the outcome of a state tax audit, assessment, or dispute is not, by itself, grounds for a refund outside the windows described above.
6. Disclaimer of Warranties
Summary
The Service is provided "as is." We don’t promise it’s error-free or that it will produce any particular legal result.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE AND ALL OUTPUTS (INCLUDING REPORTS, TIMELINES, RESIDENCY SCORES, AND RECONSTRUCTION PACKETS) ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY OUTPUT WILL BE ACCEPTED BY ANY TAXING AUTHORITY, COURT, OR ADMINISTRATIVE BODY, OR WILL RESULT IN ANY PARTICULAR LEGAL OR TAX OUTCOME.
7. Limitation of Liability
Summary
If something goes wrong, the most we owe you is what you paid us in the last year, and we’re never on the hook for tax bills, penalties, or interest.
7.1 Cap on Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EQUITYMIND VENTURES’ TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL NOT EXCEED THE TOTAL FEES YOU PAID TO EQUITYMIND VENTURES FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
7.2 Exclusion of Consequential and Tax-Related Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL EQUITYMIND VENTURES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE. WITHOUT LIMITING THE FOREGOING, EQUITYMIND VENTURES WILL NOT BE LIABLE, UNDER ANY THEORY, FOR ANY STATE OR FEDERAL TAX ASSESSMENT, DEFICIENCY, PENALTY, INTEREST, OR SIMILAR CHARGE IMPOSED ON YOU BY ANY TAXING AUTHORITY, regardless of whether such assessment relates to information organized, generated, or presented using the Service.
7.3 Basis of the Bargain
You acknowledge that the fees charged for the Service reflect the allocation of risk in this Section 7, and that Equitymind Ventures would not offer the Service on these terms without these limitations.
8. Indemnification, Dispute Resolution, and Arbitration
Summary
You cover our costs if your misuse of the Service gets us sued. Disputes go to individual arbitration, not court, except small claims.
8.1 Indemnification
You agree to indemnify, defend, and hold harmless Equitymind Ventures, its officers, employees, and agents from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of: (a) your breach of these Terms; (b) your violation of any law or the rights of a third party; or (c) content or information you submit to the Service, including inaccurate or fraudulent information described in Section 2.
8.2 Binding Arbitration
PLEASE READ THIS SECTION CAREFULLY: IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
Except for disputes eligible for small-claims court under Section 8.4, you and Equitymind Ventures agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association (“AAA”) under its applicable consumer arbitration rules then in effect, rather than in court, except that either party may bring an individual action in small-claims court as described below.
8.3 Class Action Waiver
YOU AND EQUITYMIND VENTURES EACH AGREE THAT ANY ARBITRATION OR PROCEEDING WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. Unless both you and Equitymind Ventures agree otherwise in writing, the arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of a representative or class proceeding.
8.4 Small-Claims Carve-Out
Notwithstanding Section 8.2, either party may bring an individual action in small-claims court in Orange County, California for disputes within that court’s jurisdictional limits, in lieu of arbitration, so long as the action remains in that court and is not removed or appealed to a court of general jurisdiction.
8.5 Opt-Out Right
You may opt out of this arbitration agreement by sending written notice to support@residencyiq.app within 30 days of the date you first agree to these Terms. Your notice must include your name, account email, and a clear statement that you wish to opt out of arbitration.
9. Governing Law
Summary
These Terms are governed by the law of California, without regard to conflict-of-law rules.
These Terms, and any dispute arising out of or relating to them or the Service, are governed by the laws of the State of California, without regard to its conflict-of-law principles, except to the extent the Federal Arbitration Act governs Section 8.
10. Term, Termination, and Suspension
Summary
We can suspend or terminate accounts that violate these Terms; you keep your export rights either way.
We may suspend or terminate your access to the Service if you materially breach these Terms, including by submitting fraudulent information, abusing the Service, or failing to pay fees when due. If we terminate your account for a reason other than your breach, we will provide the same 90-day export window described in Section 4. If we terminate for your material breach, we will use reasonable efforts to provide a shortened export window before deletion, except where immediate termination is necessary for security or legal reasons.
11. Changes to These Terms
Summary
We’ll tell you before anything material changes; using the Service after that means you accept the update.
We may amend these Terms from time to time. If we make a material change (including to pricing, the refund policy, the limitation of liability, or the arbitration clause), we will notify you by email and/or an in-app notice at least 30 days before the change takes effect, except for pricing changes tied to a renewal (governed by Section 3.3). Your continued use of the Service after a change’s effective date constitutes acceptance of the amended Terms. If you do not agree to a material change, your remedy is to cancel your subscription before the effective date.

13. Miscellaneous
Summary
Standard legal boilerplate: entire agreement, severability, no waiver, assignment.
- Entire Agreement: These Terms, together with our Privacy Policy and any engagement-specific scope document, constitute the entire agreement between you and Equitymind Ventures regarding the Service.
- Severability: If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.
- No Waiver: Our failure to enforce any provision of these Terms is not a waiver of our right to do so later.
- Assignment: You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
